§ 1 Applicable Terms and Conditions
Bilingual Solutions’ Terms and Conditions shall apply to all business transactions between a buyer and Bilingual Solutions unless Bilingual Solutions has explicitly agreed to other terms and conditions with the buyer in writing. By submitting an order, the buyer accepts these General Terms and Conditions. The prices are excluding the general VAT of the specific country.
§ 2 Agreement for Services
All training programs of Bilingual Solutions are offered in a blended learning format. A blended learning format is a mixture of online (self-paced) and online or offline trainer-led face-to-face modules unless stated otherwise in the course description.
To book a course, the potential client has to fill in the registration form on our website. We will then email the potential client an agreement stating the course, workshop, or program name, the start and end date of the period of access to our platform, and the number of face-to-face sessions that are contained in the package. The price for the package exclusive VAT and the bank account details for the account that payments must be made to are included in the agreement. The client has to sign the agreement and send the whole document to email@example.com. We will then confirm the receipt of the agreement by email or verbally.
§ 3 Levels of Obligation
3.1 The agreement between the client and Bilingual Solutions enshrines a ‘best effort’ obligation on the part of Bilingual Solutions and not an obligation to achieve results. This means Bilingual Solutions is obliged to meet commitments through (state of the art) standards of care and professionalism.
3.2 If in pursuit of its best effort obligation, Bilingual Solutions is dependent on information from or cooperation with the client or a participant and said information or cooperation is not forthcoming, then Bilingual Solutions is discharged from its obligations in this area.
3.3 The client’s general purchasing terms and conditions are not applicable unless accepted in writing by Bilingual Solutions.
§ 4 Payment
Bilingual Solutions will issue an invoice for the services ordered. The client is obliged to pay said invoices within five working days and without any reductions, using payment channels indicated by Bilingual Solutions.
§ 5 Refunds
Once a client has signed an agreement for a course, it can only be canceled in writing (by post or email). As clients will immediately have access to the learning platform after their payment has been received, a cancellation is only possible for the face-to-face sessions.
The costs of such a cancellation are as follows:
- If the client cancels at least two weeks before the first face-to-face session, we will refund 50% of the course fee.
- If the client cancels between 13 days and one week before the first face-to-face session, we will refund 30% of the course fee.
- If the client cancels less than a week before the first face-to-face session, we will refund 50€.
The client has the right, however, to cancel their agreement in writing up to 48 hours after signing the agreement, without giving reasons.
The course can only be taken by the participant named in the agreement. Login credentials face-to-face sessions are not transferable to other persons and shall be regarded as a breach of contract resulting in the immediate termination of access to the E-Learning Platform.
§ 6 Cancellation by Bilingual Solutions
Bilingual Solutions has the right to do the following without explanation: 1) to cancel training and/or coaching or participation by a client or a participant assigned by the client or 2) to refuse a participant. In that case, the client is entitled to repayment of the full amount paid by the client to Bilingual Solutions.
§ 7 Intellectual property
Unless clearly stated on the materials concerned, Bilingual Solutions owns the copyrights to all online modules and materials, to all content used in face-to-face sessions, and other materials published by Bilingual Solutions (including on the website), audio and visual materials and training and/or coaching materials.
§ 8 Liability
Bilingual Solutions cannot be held liable for indirect damages including but not limited to consequential damages, unrealized profits and business interruption.
§ 9 Complaint Policy and Procedure
A client who is dissatisfied with our services should contact us directly at firstname.lastname@example.org
We will get in contact with the client within one working day to resolve any issues in due time.
§ 10 Force majeure
Bilingual Solutions cannot be held responsible for damages suffered by the client due to force majeure. Examples include the absence of trainers as a consequence of illness or due to cancellation of public transport, travel restrictions due to pandemic situations, or outages of internet services.
§ 11 Final provisions and place of jurisdiction
If one or more of these provisions become ineffective, the remaining provisions shall remain valid. In this case, the parties are obliged to replace the ineffective provision with an effective provision that approximates the economic purpose of the ineffective provision as closely as possible.
Place of jurisdiction and place of performance for traders or bodies governed by public law; Dutch law shall apply. The place of jurisdiction is Amsterdam, The Netherlands.
